Terms of Service & Professional Engagement Agreement

These Terms of Service ("Terms") govern your access to and use of ImranOnline (imranonline.net) and establish the overarching commercial and legal framework for technology advisory, legacy system modernization audits, autonomous AI pipeline development, custom MVP builds, and Fractional CTO services delivered by Imran Nazir.
1. Engagement Model & Statements of Work
While this website serves as a technical portfolio and digital inquiry channel, all commercial engagements are governed by formal, bilateral Statements of Work (SOW), milestone proposals, or Master Service Agreements (MSAs). In the event of any specific conflict between these Website Terms and an executed SOW, the terms of the executed SOW shall supersede.
2. Intellectual Property Rights
- Client Deliverables: Upon full and final settlement of all milestone fees stipulated in an SOW, all bespoke custom software, custom database architectures, and proprietary business logic developed specifically for the client shall transfer exclusively to the client.
- Pre-existing Assets & Core IP: Imran Nazir retains all rights, title, and ownership in pre-existing methodologies, reusable utility modules, architectural blueprints, and proprietary tooling utilized during delivery. Clients receive a perpetual, non-exclusive, worldwide license to use such incorporated assets within their deployed software.
- Website Content: All articles, technical benchmarks, whitepapers, branding, and design elements published on ImranOnline are protected under UAE and international copyright laws.
3. Professional Standards & Warranties
We deliver advisory and engineering services with the highest degree of professional competence, adhering to modern PHP 8.4+ standards, strict typing, OWASP ASVS Level 2 security hardening, and resilient database indexing practices. However, unless expressly agreed in an SOW:
- No warranty is provided for uninterrupted third-party cloud infrastructure (AWS, Cloudflare, DigitalOcean) or external LLM API availability (Google Gemini, OpenAI, Alibaba Cloud).
- Technical audits represent point-in-time assessments based on codebase assets provided during the review period.
4. Confidentiality & Non-Disclosure
We treat all client codebases, database schematics, business workflows, and intellectual property with strict, professional confidentiality. Mutual Non-Disclosure Agreements (NDAs) are routinely executed prior to code repository access or deep architectural discovery.
5. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Imran Nazir or ImranOnline be liable for indirect, punitive, incidental, special, or consequential damages (including loss of business profits, data corruption, or business interruption). Total aggregate liability under any engagement shall be capped at the total professional fees received under the applicable SOW in the preceding three (3) months.
6. Governing Law & Dispute Resolution
These Terms and any non-contractual obligations arising out of them shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai. Any dispute, controversy, or claim shall be subject to the exclusive jurisdiction of the competent Courts of Dubai or, where agreed by mutual contract, the DIFC Courts / LCIA Arbitration Centre.
